1. Introduction and acceptance
These Website Terms of Service (“Terms”) govern access to and use of the website located at https://milansystems.co/ (the “Website”), operated by MM Digital. By accessing or using the Website, you agree to comply with these Terms to the extent permitted by applicable law. If you do not agree with these Terms, you should discontinue your use of the Website. These Terms apply to the Website and its publicly accessible content and features. They do not independently establish the terms under which MM Digital provides paid implementation, automation, maintenance, consulting, or other professional services. Such services are governed by separate written agreements, including an applicable Master Services Agreement (“MSA”), Statement of Work (“SOW”), and Data Processing Addendum (“DPA”), where relevant. Nothing in these Terms limits rights or protections that cannot lawfully be excluded or restricted under applicable law.

3. Purpose and nature of the Website
The Website provides general information about MM Digital, its business activities, and its technology-related services.
These may include information concerning:
- (a)AI-assisted lead qualification;
- (b)business process and workflow automation;
- (c)CRM integration and related operational systems;
- (d)automated business communications and scheduling;
- (e)implementation, configuration, and maintenance services; and
- (f)other related business technology solutions.
Descriptions, examples, demonstrations, illustrations, and other materials appearing on the Website are provided for general informational and promotional purposes. They do not constitute a binding offer to provide any particular service on specified commercial terms unless expressly agreed in a separate written contract. The Website does not currently provide user accounts, an online checkout system, or direct payment functionality.
4. Separate agreements for professional services
Accessing the Website, submitting a business inquiry, sending an email, or scheduling a consultation does not, by itself, establish a paid services agreement or create an obligation for MM Digital to undertake a project. Any professional engagement is subject to mutual agreement concerning the relevant scope, deliverables, responsibilities, pricing, payment terms, implementation schedule, and other applicable conditions. Where the parties enter into a separate MSA, SOW, DPA, or other written agreement, that agreement governs the matters within its scope. If these Website Terms conflict with an applicable executed services agreement concerning the provision of contracted services, the relevant services agreement will prevail for those matters. These Terms do not amend, replace, or override any such agreement.
5. Permitted use of the Website
You may access and use the Website for lawful personal or business informational purposes.
You agree not to:
- (a)use the Website in violation of applicable law;
- (b)attempt to gain unauthorized access to the Website, its hosting infrastructure, or related systems;
- (c)interfere with the security, availability, or normal operation of the Website;
- (d)introduce malicious software, harmful code, or other disruptive technology;
- (e)use automated tools in a manner that imposes an unreasonable burden on the Website or circumvents security measures;
- (f)impersonate another person or misrepresent your identity when communicating with MM Digital;
- (g)use Website content in a way that infringes the rights of MM Digital or third parties; or
- (h)otherwise misuse the Website in a manner that causes or is reasonably likely to cause unlawful harm.
Nothing in this section prohibits activity that is expressly permitted by applicable law and cannot lawfully be restricted by contract.
6. Intellectual property
Unless otherwise indicated, the Website and its original content, including text, design elements, graphics, layout, branding, and original materials, are owned by MM Digital or used under appropriate authorization. Such materials may be protected by applicable copyright, trademark, and other intellectual property laws. MM Digital grants visitors a limited, non-exclusive, non-transferable, revocable permission to access and view the Website for its intended informational purposes. This permission does not transfer ownership of any intellectual property rights. Except where permitted by applicable law or expressly authorized in writing, you may not reproduce, distribute, commercially exploit, or create unauthorized derivative works from protected Website content. Third-party names, logos, trademarks, software, and other materials remain the property of their respective owners. Nothing in these Terms determines ownership of software, automation workflows, configurations, source code, deliverables, or other materials created under a separate client engagement. Such ownership and licensing matters are governed by the applicable services agreement.
7. Informational content and no guarantee of results
MM Digital endeavors to present information about its business and services accurately and clearly. However, Website content may include general descriptions, examples, potential use cases, or illustrative information that does not reflect every technical, commercial, legal, or operational circumstance.
Unless expressly agreed in a separate written contract, MM Digital does not guarantee that:
- (a)any particular automation or integration will be suitable for every business;
- (b)an AI-assisted system will produce perfectly accurate classifications, scores, or recommendations;
- (c)automated communications will result in a specified number of appointments or sales;
- (d)the use of an automation system will produce a particular conversion rate, revenue level, or return on investment; or
- (e)any specific third-party software or integration will remain available or unchanged.
Actual results depend on factors that may include data quality, system configuration, third-party service availability, user instructions, human review, market conditions, and the client's own business operations. Any binding service commitments, acceptance criteria, warranties, or remedies are governed by the applicable written services agreement.
8. Artificial intelligence and automation information
The Website may describe systems that use artificial intelligence, automated workflows, lead scoring, or other technology-assisted processes. Such descriptions are intended to explain potential service functionality and do not constitute a guarantee that automated outputs will always be accurate, complete, lawful, or suitable for a particular decision. AI-generated or AI-assisted outputs may contain errors, omissions, inconsistencies, or results that require human review. Businesses using automation or AI-assisted systems remain responsible for the decisions and activities allocated to them under applicable law and their relevant contracts. Nothing in this section independently reallocates liability, compliance duties, or contractual responsibilities established in an applicable MSA, SOW, or DPA.
9. Third-party services and external links
The Website may provide links to, or use resources supplied by, third-party services.
These may include:
- (a)Cal.com, through an external meeting-scheduling link;
- (b)Google Meet and Google Calendar, in connection with scheduled meetings;
- (c)Google Fonts, for externally loaded font resources;
- (d)YouTube, as an optional video fallback; and
- (e)Cloudflare, for Website hosting and related infrastructure.
Cal.com scheduling is accessed through an external link rather than an embedded scheduling interface. YouTube-based content is available as an optional fallback activated by visitor choice. Third-party services may be governed by their own terms, privacy policies, technical limitations, and service conditions. MM Digital does not control the independent operation, content, or policies of third-party websites and services. To the extent permitted by applicable law, MM Digital is not responsible for independently operated third-party services solely because the Website links to or makes use of them. This provision does not exclude responsibility that MM Digital may have under mandatory law or a separate binding agreement.
10. Business communications and scheduling
Visitors may contact MM Digital using the business email address provided on the Website. Visitors may also use the external Cal.com scheduling link to request or arrange a meeting.
Submitting an inquiry or scheduling a meeting does not guarantee:
- (a)acceptance of a proposed engagement;
- (b)availability of a particular service;
- (c)delivery within a particular timeframe;
- (d)agreement on pricing or contractual terms; or
- (e)any particular business outcome.
MM Digital may request additional information before deciding whether to offer services or enter into a contractual relationship. Business proposals, prices, deliverables, and project timelines become binding only as provided in the applicable agreement between the parties.
11. Privacy and data protection
MM Digital processes personal information associated with Website visits, business communications, and scheduling in accordance with its applicable Privacy Policy and data protection obligations. The Website's use of browser storage and related technologies is described in the Cookie Policy.
The following documents should be read together with these Terms where relevant:
The Privacy Policy and Cookie Policy are separate notices that describe the Website’s personal-data and browser-storage practices. MM Digital will make both notices available through clearly labelled links on the Website. The destination links must be active when this Website is made publicly available. Where MM Digital processes personal data on behalf of a business client under a separate professional engagement, the relevant contractual and data processing arrangements govern that processing. These Website Terms do not replace any DPA or other legally required data protection arrangement.
12. Website availability and modifications
MM Digital may maintain, update, modify, suspend, or discontinue Website content or features where reasonably necessary for technical, operational, security, legal, or business reasons. MM Digital does not guarantee uninterrupted or error-free availability of the Website. Temporary interruptions may occur due to maintenance, hosting issues, network conditions, security events, or third-party infrastructure. MM Digital will take reasonable steps appropriate to the circumstances to maintain the Website's functionality and security. This section does not govern the availability, support commitments, service levels, or continuity of any paid client system supplied under a separate services agreement.
13. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Website and its general informational content are provided on an “as is” and “as available” basis.
Except for rights or obligations that cannot lawfully be excluded, MM Digital makes no independent representation or warranty that the Website:
- (a)will always be uninterrupted, secure, or error-free;
- (b)will meet every visitor's specific requirements;
- (c)will be free from all technical defects or inaccuracies; or
- (d)will contain information suitable for every particular commercial or technical purpose.
Nothing in this section excludes any express warranty or contractual commitment contained in a separately executed services agreement. Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by applicable law, MM Digital will not be liable for indirect, incidental, consequential, or special losses arising solely from a visitor's access to or use of the publicly available Website, including losses resulting from reliance on general informational content. This limitation does not apply where liability cannot lawfully be excluded or restricted. Nothing in these Terms excludes or limits liability for fraud, intentional unlawful conduct, gross negligence, or any other liability to the extent its exclusion or limitation is prohibited by applicable law. These Website Terms do not establish or modify the liability caps, remedies, or risk allocation applicable to paid professional services. Any such matters are governed by the relevant MSA, SOW, or other executed agreement.
15. Indemnification
To the extent permitted by applicable law, a visitor who unlawfully misuses the Website may be responsible for losses, damages, or reasonable costs directly caused by that unlawful conduct. Any claim under this section must be supported by the applicable legal requirements concerning liability, causation, and recoverable loss. This section does not create an unrestricted obligation to indemnify MM Digital for every third-party claim or for matters unrelated to the visitor's unlawful conduct. It does not replace any indemnification provisions contained in a separate services agreement.
16. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Serbia, excluding conflict-of-law rules to the extent such exclusion is permitted. The parties should first attempt to resolve disputes relating to Website access or use through good-faith communication. Where a dispute cannot be resolved amicably, it will be submitted to the competent court in the Republic of Serbia, subject to mandatory rules concerning jurisdiction, consumer protection, and other non-waivable rights. This provision does not replace any separate dispute resolution clause agreed between MM Digital and a business client under an MSA or other executed contract. In particular, any arbitration agreement contained in a separate services contract remains governed by that contract and applies only within its agreed scope.
17. Changes to these Terms
MM Digital may revise these Terms to reflect changes in Website functionality, business operations, applicable legal requirements, or other relevant circumstances. The updated version will be published on the Website. The “Last Updated” date will identify the date of the most recent revision. Where applicable law requires additional notice or consent for a particular change, MM Digital will comply with those requirements. Changes to these Website Terms do not automatically amend an existing executed services agreement.
18. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be ineffective only to the extent of the relevant invalidity, unlawfulness, or unenforceability. The remaining provisions will continue to apply to the extent permitted by law.
19. No waiver
A failure or delay by MM Digital to exercise a right under these Terms does not, by itself, constitute a waiver of that right. Any waiver must be interpreted in accordance with applicable law and does not automatically constitute a waiver of any other right or subsequent breach.
